Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of www.alsaraywholesale.com (the "Site"), operated by Alsaray Wholesale LLC, 700 E Whitcomb Ave, Madison Heights, Michigan 48071 ("Alsaray", "we", "us"). By using the Site you agree to these Terms and to our Privacy Policy. If you open an account on behalf of a business, you agree to these Terms for that business. If you do not agree, do not use the Site.

2. Who may use the Site

• Browsing is open to everyone. You do not need an account or to be any particular age to view the catalog.
• Accounts require you to be 21 or older. To apply for or hold an account you must be at least 21 years old and confirm this when you apply. Because our catalog includes age-restricted products such as hookah tobacco, we set one age for every account.
• Accounts are for businesses only. We sell wholesale to businesses that resell or serve food, such as grocers, markets, restaurants, caterers and distributors. We do not sell to consumers for personal use.
• You must have authority to bind the business you apply for, and the information you give us must be true, complete and current.

We review every application by hand and may ask for proof of your business, tax ID, resale certificate or licenses. We may approve, decline, suspend or close any account at our discretion, including for suspected fraud, false information or a breach of these Terms.

3. Accounts

Keep your password confidential and do not share your account. You are responsible for activity under your account. Tell us right away at info@alsaraywholesale.com if you suspect unauthorized use. You may ask us to close your account at any time.

4. Products, pricing and availability

We try to keep product names, sizes, case packs, photos and stock levels accurate, but packaging and availability change and errors can happen. Photos are for illustration. Wholesale pricing is shown only to approved accounts, may change without notice, and is confirmed at the time of sale. We may correct errors and limit quantities.

5. Orders

Online ordering is not currently available on the Site. Orders are placed with our sales team by phone or email. Every order is an offer that we may accept or decline, and is not binding until we confirm it. Payment, delivery, pickup, returns and credit terms are those stated on your invoice or agreed in writing with us; if they conflict with these Terms, the invoice or written agreement controls for that order.

6. Age-restricted products

Some products, including hookah tobacco, vapor products and related items, are restricted by law. We sell these products only to businesses that hold every license and permit required by federal, state and local law, and never to anyone under 21. We may require proof of licensing before selling them and may refuse any sale of restricted products. You are responsible for selling them only as the law allows, including age verification at your point of sale.

7. Resale and compliance

You are responsible for complying with laws that apply to your business, including sales-tax and resale-certificate requirements, food-safety and storage rules, labeling, and any licenses or permits. If you claim a sales-tax exemption, you must give us a valid certificate and keep it current.

8. Acceptable use

You agree not to:

• give false information or impersonate anyone;
• attempt to access accounts, data or systems you are not authorized to access, or probe, scan or test the Site's security except as allowed by our Security Policy;
• interfere with the Site, including by overloading it, introducing malware or bypassing rate limits or bot checks;
• scrape, copy or republish our catalog, pricing or photos in bulk without written permission; or
• use the Site for any unlawful purpose.

9. Intellectual property

The Site, including its design, text, product photography and the Alsaray name and logo, belongs to Alsaray or its licensors and is protected by law. Other brand names and logos shown belong to their owners and are used only to identify the products we carry. You may view the Site and print pages for your own business purchasing; any other use requires our written permission.

10. Disclaimers

The Site and its content are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, about the Site, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not promise the Site will be uninterrupted or error-free. Product warranties, if any, are those given on the product or invoice.

11. Limitation of liability

To the fullest extent the law allows, Alsaray will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to one hundred US dollars (US $100). Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify Alsaray against claims, losses and costs (including reasonable attorneys' fees) arising from your breach of these Terms, false information you provide, or your resale of products in violation of law.

13. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Oakland County, Michigan, and you consent to their jurisdiction.

14. Changes

We may update these Terms. We will change the effective date and version at the top of this page and, for material changes, notify account holders before they take effect. Continuing to use the Site after changes take effect means you accept them.
